Any offer we make is a proposal to purchase property and is not binding on either party until a written purchase agreement is signed by both parties.

Dispute resolution & arbitration

Any dispute arising out of or relating to these Terms or your use of the Site that cannot be resolved informally will be resolved by binding arbitration administered by the American Arbitration Association under its rules, held in Franklin County, Ohio, before a single arbitrator. Either party may instead bring an individual claim in small-claims court where eligible. For disputes under $10,000, the arbitration may be conducted based on written submissions. YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. Each party bears its own attorney fees unless the arbitrator determines otherwise.

Governing law

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles. Subject to the arbitration provision above, any claims must be brought in the state or federal courts located in Franklin County, Ohio.

Force majeure

We are not responsible for delays or failures caused by events beyond our reasonable control, including weather, natural disasters, acts of God, war, terrorism, civil unrest, disease outbreaks, or utility and telecommunications failures.

Miscellaneous

These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Site. If any provision is found unenforceable, it will be modified to the minimum extent necessary and the remainder will remain in effect. Our failure to enforce any provision is not a waiver. We may assign our rights under these Terms; you may not assign yours without our written consent. Provisions that by their nature should survive termination will survive.
