SMS Messaging Terms

SMS Program. Nidus Homes (S&K Home Buyers LLC) sends text messages and makes phone calls only to people who opt in by checking a consent box on our website forms. Our Real Estate Inquiry messages are transactional or conversational, about your property inquiry, such as property details, responses to your questions, and appointment confirmations. We send marketing or promotional text messages (such as cash-offer and home-buying updates, which may be sent using automated technology, up to 4 messages per month) only to people who separately check the optional marketing consent box. Each consent is optional and is not a condition of submitting a form or of any purchase or service.

Messages we send: replies about selling your property, offer and appointment updates, and follow-ups you requested.

Who we are

We are real estate investors. When an owner accepts our offer, they sign a purchase agreement with us, and we either close on the property ourselves or assign our interest in that agreement to another investor before closing. We are not licensed real estate agents or brokers, and nothing on this Site is a listing service, brokerage service, legal advice, tax advice, or financial advice. Any offer we make is a proposal to purchase property and is not binding on either party until a written purchase agreement is signed by both parties.

Intended audience

The Site is intended for users who are at least 18 years old. By using the Site, you represent that you are at least 18, that you are who you say you are, and that any information you submit is accurate.

Changes to these Terms

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, S&K HOME BUYERS LLC AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SITE. WHERE LIABILITY CANNOT BE EXCLUDED, OUR TOTAL AGGREGATE LIABILITY ARISING FROM YOUR USE OF THE SITE WILL NOT EXCEED FIFTY DOLLARS ($50).

Indemnification

You agree to defend, indemnify, and hold harmless S&K Home Buyers LLC (DBA Nidus Homes) and its owners, employees, and agents from any claims, losses, damages, penalties, and expenses (including reasonable attorney fees) arising out of your use of the Site, your breach of these Terms, or your violation of any law or the rights of any third party — including claims arising from contact made to a phone number you provided that you did not own or failed to tell us you no longer owned.

Dispute resolution & arbitration

Any dispute arising out of or relating to these Terms or your use of the Site that cannot be resolved informally will be resolved by binding arbitration administered by the American Arbitration Association under its rules, held in Franklin County, Ohio, before a single arbitrator. Either party may instead bring an individual claim in small-claims court where eligible. For disputes under $10,000, the arbitration may be conducted based on written submissions. YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. Each party bears its own attorney fees unless the arbitrator determines otherwise.

Governing law

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles. Subject to the arbitration provision above, any claims must be brought in the state or federal courts located in Franklin County, Ohio.

Force majeure

We are not responsible for delays or failures caused by events beyond our reasonable control, including weather, natural disasters, acts of God, war, terrorism, civil unrest, disease outbreaks, or utility and telecommunications failures.

Miscellaneous

These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Site. If any provision is found unenforceable, it will be modified to the minimum extent necessary and the remainder will remain in effect. Our failure to enforce any provision is not a waiver. We may assign our rights under these Terms; you may not assign yours without our written consent. Provisions that by their nature should survive termination will survive.
